GlowCite / Metanoia, LLC. These Terms of Service govern your use of GlowCite services provided by Metanoia, LLC, a Georgia limited liability company.
These Terms of Service govern your use of GlowCite services provided by Metanoia, LLC, a Georgia limited liability company (“Company,” “we,” “us,” or “our”). By accessing or using any GlowCite services, you agree to be bound by these Terms.
Agreement to Terms
By accessing or using any services provided by GlowCite, operated by Metanoia, LLC, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use our services.
These Terms constitute a legally binding agreement between you and Metanoia, LLC. Metanoia, LLC reserves the right to update or modify these Terms at any time. Your continued use of our services following any such changes constitutes your acceptance of the revised Terms. These Terms apply to all visitors, clients, and others who access or use GlowCite services through our website, direct engagement, or any other channel made available by Metanoia, LLC.
Services Provided
Metanoia, LLC provides AI search visibility services for med spas and aesthetic clinics under the GlowCite brand. These services include AI citation audits, content optimization, schema markup implementation, LLMs.txt configuration, Google Business Profile optimization, and ongoing AI search monitoring and reporting.
The specific services provided to each client are defined in a separate Service Agreement or Statement of Work executed between the client and Metanoia, LLC. Metanoia, LLC reserves the right to modify, suspend, or discontinue any aspect of its services at any time with reasonable notice to affected clients.
Service Tiers
GlowCite services are offered in three tiers: Starter, Growth, and Authority. Each tier includes a defined set of deliverables, reporting cadence, and support level as described in the applicable Service Agreement. Tier definitions and inclusions are subject to change; current specifications are available upon request.
Clients may upgrade their service tier at any time, subject to availability and the terms of their existing Service Agreement. Downgrades are governed by the cancellation and billing terms described below.
Payment Terms
Fees for GlowCite services are as stated in the applicable Service Agreement between the client and Metanoia, LLC. All fees are quoted and payable in United States dollars. Metanoia, LLC reserves the right to adjust pricing with thirty days written notice to existing clients.
Payment is due as specified in the Service Agreement, typically monthly in advance. Metanoia, LLC uses Stripe as its payment processor. By providing payment information, you authorize Metanoia, LLC to charge the applicable fees through Stripe in accordance with your selected billing schedule.
Late payments may result in suspension of services at the discretion of Metanoia, LLC. Accounts more than fifteen days past due may be subject to a late fee as specified in the Service Agreement. Clients are responsible for maintaining current and valid payment information with Stripe.
Billing and Cancellation
Clients may cancel their GlowCite service subscription at any time by providing written notice to Metanoia, LLC in accordance with the notice period specified in their Service Agreement, typically thirty days. Cancellation does not entitle the client to a refund of any fees already paid for the current billing period.
Upon cancellation, Metanoia, LLC will deliver a final report and cease all active optimization activities. Any work product completed prior to cancellation remains subject to the intellectual property terms of these Terms and the applicable Service Agreement.
Metanoia, LLC reserves the right to terminate services immediately and without refund in the event of a material breach of these Terms or the applicable Service Agreement by the client, including non-payment of fees.
SMS and Electronic Communications
By submitting your phone number through any GlowCite form, booking page, chat widget, or opt-in mechanism, you expressly consent to receive text messages (SMS) from Metanoia, LLC (DBA GlowCite) at the phone number provided. These messages may include appointment confirmations and reminders, pre-call preparation and follow-up communications, service updates and consultation-related notifications, and customer care communications related to your inquiry.
Message frequency varies based on your interactions with GlowCite. Message and data rates may apply. You may opt out at any time by replying STOP to any message. After opting out, you will receive one final confirmation message and no further SMS communications will be sent. For help, reply HELP or contact us at glowciteai@gmail.com.
Consent to receive SMS messages is not a condition of purchasing any services from Metanoia, LLC.
Email Communications
By providing your email address through any GlowCite form or booking page, you consent to receive email communications from Metanoia, LLC related to your inquiry, appointment, or service engagement. You may unsubscribe at any time by clicking the unsubscribe link in any email or by contacting glowciteai@gmail.com.
Intellectual Property
All methodologies, processes, frameworks, templates, and proprietary systems developed by Metanoia, LLC in connection with GlowCite services remain the sole intellectual property of Metanoia, LLC. Client engagement does not transfer ownership of any GlowCite methodology or system.
Work product created specifically for a client, including optimized content, schema markup, and custom reports, is owned by the client upon receipt of full payment for the applicable services, unless otherwise specified in the Service Agreement.
Clients grant Metanoia, LLC a limited, non-exclusive license to access, analyze, and modify client-owned content and website assets for the sole purpose of delivering the contracted services. This license terminates upon conclusion of the engagement.
Confidentiality
Both parties agree to keep confidential any non-public information disclosed in connection with the engagement, including but not limited to business strategies, patient acquisition data, financial information, and proprietary content. This obligation survives termination of the service relationship.
Metanoia, LLC will not disclose client-specific data, metrics, or strategies to third parties without the client’s prior written consent, except as required by law. Aggregated, anonymized industry data may be used for research and reporting purposes.
Clients agree not to disclose GlowCite’s proprietary methodologies, pricing structures, or internal processes to competitors or third parties.
Limitation of Liability
To the maximum extent permitted by applicable law, Metanoia, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of GlowCite services, even if Metanoia, LLC has been advised of the possibility of such damages.
Metanoia, LLC’s total liability to any client for any claim arising out of or related to these Terms or the applicable Service Agreement shall not exceed the total fees paid by the client to Metanoia, LLC in the three months preceding the claim.
AI search algorithms and citation behaviors are controlled by third-party platforms including Google, OpenAI, Perplexity, and Microsoft. Metanoia, LLC makes no guarantee of specific citation frequency, ranking positions, or patient acquisition outcomes. Results vary by market, competition, and platform behavior.
Governing Law
These Terms of Service and any disputes arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions.
Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Georgia, and the parties hereby consent to personal jurisdiction and venue in such courts.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
